Terms of Use for ADAPT ONE

1. Confidentiality: While ADAPT is in its beta phase, please note that the platform is not 100% secure yet. We strongly recommend that you avoid posting any sensitive or confidential information. Although we employ industry-standard security measures and strive to protect your data, no system is completely immune to breaches. By using the platform, you acknowledge and accept these risks.
2. User Responsibility: ADAPT serves as a platform that connects freelancers and clients for various projects. While we take great care to vet both parties, we cannot guarantee a flawless experience. Problems may arise during production, and while we will attempt to mitigate issues when possible, ADAPT is not responsible for any disruptions, delays, or failures that occur during a project. Users are encouraged to handle disputes directly with the parties involved.
3. Account Security: You are responsible for maintaining the security and confidentiality of your account credentials. ADAPT cannot be held liable for any unauthorized access to your account due to weak or compromised passwords or failure to protect login information. We strongly encourage users to create strong passwords and update them regularly.
4. Prohibited Conduct: Any attempt to use ADAPT for fraudulent, unethical, or illegal purposes will result in immediate suspension or termination of your account. This includes, but is not limited to, misrepresenting qualifications, spamming, harassment, or circumventing payment systems.
5. Platform Integrity: Clients and freelancers who conduct business outside of the platform after being introduced through ADAPT risk being permanently banned. Our platform invests significant resources in creating opportunities for members, and going outside of ADAPT for business undermines the community’s spirit.
6. Intellectual Property: ADAPT does not claim ownership of any intellectual property (IP) produced through our platform. The ownership of work delivered remains with the freelancer or is transferred to the client based on the agreed terms of the project. However, ADAPT is not responsible for any breaches of intellectual property laws by either freelancers or clients using the platform. It is the responsibility of both parties to ensure compliance with applicable IP laws and contractual agreements.
7. Limitation of Liability: ADAPT cannot be held liable for any direct, indirect, incidental, or consequential damages arising out of the use of the platform, including but not limited to lost profits, business interruptions, or data breaches. Your use of the platform is at your own risk.
8. Dispute Resolution: In the event of a dispute between freelancers and clients, ADAPT may offer assistance in finding a resolution. However, we are not an arbitrator or mediator, and final responsibility lies with the parties involved to reach a settlement.
9. Payment and Fees: ADAPT facilitates payments between freelancers and clients. Freelancers will receive payments only after project approval by the client. ADAPT collects a fee of 15% on the first $1,000 earned between a freelancer and a new client and 10% thereafter. Clients are responsible for an additional 5% fee. These fees fund platform operations, credit card processing, insurance, and legal services.
10. Minimum Wage Requirement: All freelancers on ADAPT are required to charge a minimum hourly rate of $50 USD to ensure fair competition based on skill and expertise rather than geographical location.
11. Reinvestment into the Community: At least 1% of all revenues generated on the platform will be reinvested in community projects, including film, animation, video game, or tech projects. The community will vote on which projects to support.
12. Governing Law and Jurisdiction: These Terms of Use and any disputes arising out of or related to the use of ADAPT are governed by the laws of Quebec, Canada. By using the platform, you agree to submit to the jurisdiction of the courts in Quebec for the resolution of any disputes.
13. Changes to Terms: ADAPT reserves the right to modify these Terms of Use at any time. Users will be notified of significant changes, and continued use of the platform after modifications signifies acceptance of the updated terms.
14. Termination: ADAPT reserves the right to suspend or terminate any account found to be in violation of these Terms of Use, with or without prior notice.
